BUILDING LEASE AGREEMENT


This agreement is made at 20/6 Soi Talingchan, Taladyai Sub-district, Muang Phuket District, Phuket Province.
     On the ………………… th day of ……………………………………. in the year of 2001 A.D. between:
     Romande Societe Anonyme by Mr. Rene Chevalley and Mr. Puvadol Nartboon the authorized directors, having principal place of business at number 2 Chalermprakiat Road, Patong Sub-district, Kathu District, Phuket Province the first party hereinafter called the "Lessor" and

the second party hereinafter called the "Lessee".

Both parties agree to the following terms:
     1. The Lessor agrees to lease out and the Lessee agrees to take on lease a two stories apartment number 2/……… Chalermprakiat Road, Patong Sub-district, Kathu District, Phuket Province, the building known as Swiss Palm Beach with components and accessories installed at the time of making this agreement, each story having an area 45.50 square meters. The building is situated on the land Nor.Sor.3 Kor. number 187 book number 2 Khor Page 37 plot number 43 Patong Sub-district, Kathu District, Phuket Province.
     2. This agreement has a lease period of 30 year, effective ………………………… and expiring on …………………………with an option granted to the Lessee to renew this agreement for two periods of 30 years, under the same terms and conditions as herein contained, this option shall be exercised by the Lessee giving written notice to the Lessor at least one month prior to the expiry date of this agreement and the Lessor shall be obligated to register the renewal with the competent authorities.
     3. The rental for the entire term of this agreement is 30,000 Baht (Thirty Thousand Baht) per year, a total amount of 30 years is 900,000 Baht (Nine Hundred Thousand Baht). The Lessee has paid the full amount of 900,000 Baht (Nine Hundred Thousand-Baht) on the day of entering into this agreement of which the Lessor has received this said sum in full.
     4. The Lessee shall use the apartment for the purpose of residence, renting out and company's address.
     5. The Lessee shall have the right to transfer the lease right of this agreement in whole or in part to any other person without prior consent of the Lessor, for sublease the Lessee must obtain written permission from the Lessor. The Lessor agrees to register the same with the appropriate competent authorities as the Lessee may request, such transfer of lease right or sublease must not exceed the lease term under the original agreement.
     6. The Lessee shall pay when due of the land and building tax and other levies made against the building.
     7. Regular service provided by the Lessor to the Lessee, for which the Lessee shall be paid in advance on a monthly basis include:
          a. Maintenance of cleanliness in the common area in and out of the building.
          b. Swimming-pool and garden, including maintenance.
          c. Electrical system in the apartment and complex.
          d. Provision and maintenance of fire fighting equipment.
          e. Water supply.
          f. Telephone (extension).
          g. The guards and receptionists.
          h. General maintenance of the building.
     8. The Lessor maintains the right to adjust the service rate in compliance with future circumstances, under the condition that the adjusted rates shall be in direct proportion to the changing rates of expenses, materials, cost or labor with may add burden to the Lessor in providing the service. The Lessor shall notify the Lessee of any adjustment at least 15 days in advance.
     9.In the event the Lessor has to cancel or reduce any services because of limitation by laws of force majaure, this shall not be deemed a breach of agreement and shall not be as cause to adjust the rent or the service charges.
     10. The Lessee agrees to utilize the lease property peacefully; shall not commit or allow other persons to commit any activities within or in connection with the lease property contrary to law or against morals or which may cause harm to health, are likely to cause aversion, or cause trouble or nuisance to the Lessor or neighboring people of the lease property.
     11. Both parties shall bring the lease agreement to be registered at the Land Office of Kathu District, and the Lessee agrees to pay the registration fees including stamp duties and other expenses.
     12. This agreement is made subject to the provision of the law of Thailand and shall be held binding on the Lessor, the Lessee, statutory heirs, transferees, administrators of the property and representatives of both parties and shall endure to their benefit respectively.

     The Lessor agrees that in the event either person of the Lessee succumbs death prior to the other during the time this lease agreement is binding and in force, this lease agreement shall still be held binding and in force for the remaining person of the Lessee as originally made until expiration of the lease term.

     The lease right under this agreement shall belong to Mr. …………………………,………%, to
Mrs. ………………………………and Mr. …………………………,………% each.

     This agreement is made in triplicate, each copy of equal tenor and effect, the parties shall retain one copy each and third copy is kept at the Land Office of Kathu District, in witnesses whereof the parties hereunto affix their signatures in the presence of witnesses bearing important testimony hereto.
